of Visiting Scholar hereinafter referred to as Visiting Scholar), and
The University of Texas at Austin, Austin, Texas hereinafter referred
to as UT Austin), a state component institution of The University of
Texas System, enter into this Agreement. UT Austin shall appoint Visiting
Scholar in the Department of _____________________under the direction
of Professor _____________ (hereinafter referred to as Nominator) for
the purpose of providing training and related intellectual research
and education. The period of appointment shall commence on or about
____________, and will last through approximately __________, provided
the Visiting Scholar complies with UT Austin policies and procedures.
Visiting Scholar will be subject to and required to observe all rules, regulations and requirements of UT Austin and The University of Texas System Board of Regents' Rules and Regulations, including but not limited to safety, health, hours of work, and conduct. In the course of working with Nominator, Visiting Scholar may acquire information that is the intellectual property of UT Austin. This intellectual property may consist of unpublished results, know-how, non-patentable information, patentable or other written or orally transmitted information. Visiting Scholar agrees that no intellectual property of UT Austin acquired by Visiting Scholar during the period of appointment at UT Austin will be transmitted by Visiting Scholar in any form. All technical reports containing technical information by Visiting Scholar will be accompanied by an English translation, which will be authorized by Nominator for transmittal. No other technical information will be transmitted or disclosed by Visiting Scholar. Visiting Scholar agrees to hold UT Austin and The University of Texas System, their Regents, officer, agents and employees, harmless from any loss, claim, damage, or liability of any kind involving, Visiting Scholar arising out of or in connection with this Agreement, except to the extent that it is directly due to the negligent acts or omissions of any of the Regents, officers, employees or agents of the UT Austin. If the work of the Visiting Scholar, or the facilities and equipment used to support that work, are supported by a grant or contract, Visiting Scholar agrees to comply with the intellectual property provisions of that grant or contract. This Agreement shall be governed by the laws of the State of Texas. VISITING SCHOLAR
