Abstract:
This Article examines approaches to state regulation of close corporations. The Article argues that a general incorporation statute, rather than a special close corporation law, better serves the close corporation. It further argues that state legislatures have not only failed to draft the right law, but that the endeavor displays fatal conceptual flaws and should be abandoned.
