Book Review:
Lawrence E. Mitchell, The Cult of Efficiency (reviewing Frank
H. Easterbrook and Daniel R. Fischel’s The Economic Structure of
Corporate Law), 71 TEXAS L. REV. 217 (1992).
Abstract:
Judge Easterbrook and Professor Fischel present an economic
model of corporate law. Professor Mitchell challenges their
analysis both from an economic and a policy perspective. His
challenge seeks to rebut their claims and warn policymakers of
the problems with and limited applicability of their analysis.
