Abstract:
Judge Easterbrook and Professor Fischel present an economic model of corporate law. Professor Mitchell challenges their analysis both from an economic and a policy perspective. His challenge seeks to rebut their claims and warn policymakers of the problems with and limited applicability of their analysis.
