Abstract:
Professor Mitchell broadly addresses the moral and social
responsibility of corporations by using the insights of
developmental psychology and the philosophical problem of role
morality. He argues that irresponsible corporate behavior and
many of the related internal problems of corporate governance
can be traced to the morally constraining effects of corporate
law on the corporate entity and its managers. He concludes that
loosening these legal constraints might have the effect of
increasing the moral accountability, and thus responsibility, of
the corporation and its managers.
