Tanya Patterson, Worth the Risk: Heightened Securities Liability for Lawyers Who Invest in Their Clients, 80 TEXAS L. REV. 639 (2002).

 

Abstract:

During the technology boom of the late 1990s, many lawyers invested in their clients.  This Note discusses why lawyers have made such investments then explores the potential liabilities that lawyers investing in clients face under the Securities Act of 1933 and the Securities and Exchange Act of 1934.  Then, this Note offers some suggestions to aid lawyers in avoiding this increased liability if they choose to invest in their clients.
