This course is restricted to upper division students only.

This seminar will consider selected professional responsibility problems faced by lawyers engaged in the practice of corporate, securities and commercial (including real estate and bankruptcy) law.  It also will explore the circumstances in which business lawyers may be liable civilly and how any such liability may be avoided.  Some of the special professional responsibility challenges faced by attorneys with transnational practices also will be considered.  Students will be required to write a research paper on any topic within the subject matter of the seminar, broadly defined (see "Requirements" below).  Completion of this seminar will not satisfy the academic professional responsibility requirement.

REQUIREMENTS:  We will have regular class meetings and attendance, preparation and participation will be required.  The research paper will be due finally the third week in June.  A substantially completed draft will be due on the last class day.  This draft will be subjected to a critique by the Professor, the results of which will be conveyed in a student-Professor conference the following week.  In that conference the relationship between papers and class discussions and readings will be explored.  Papers should be a minimum of 30 pages, double-spaced, with footnotes from at least twenty sources.  Seventy- five percent of the seminar grade will be based on the paper; twenty-five percent will be based on class performance.

This seminar is open to all students that have completed or are simultaneously taking the course in Business Associations.
