Description
This seminar is an investigation of issues in corporate and securities law that are of present-day concern to academics, regulators, and practitioners. Past topics include corporate takeovers, executive compensation and optimal incentive schemes, market efficiency, and comparative corporate law. Class will be structured around critical discussion of the readings, with students preparing two pages of written questions/comments prior to each class. The student's grade will be determined on the basis of class participation, the written questions, and a final independent paper.
