Description
This course examines the law governing business organizations from a transactional practice perspective, with a particular focus on capital structure, including debt instruments.  Students should expect to encounter elements of accounting and corporate finance, and to read some complex transactional and organizational drafting.  Topics include agency, partnerships, corporations, debt, and capital transactions and reorganizations.

A student may not receive credit for both Corporations and Business Associations or Business Associations (Enriched).
