This course is restricted to upper division students only.

Description
This course is designed to give students a broad overview of the law—domestic, foreign, and international—governing international business transactions.  There are no prerequisites. 
We begin by looking at certain issues that cut across various types of international transactions:  the role of international lawyers; international dispute resolution; the place of international law in the U.S.  legal system; the extraterritorial application of domestic law; and the function of the WTO.  We then turn to specific problems raised by different types of transactions:  transnational sales; agency & distributorship agreements; licensing of intellectual property; foreign direct investment; mergers & acquisitions; joint ventures; and concession agreements.

This is a writing seminar.  Students will be required to submit three 5-6 page papers based on the readings assigned in class.  Students will then work on independent research papers based on specific legal issues related to the class.

There will be no class meeting on Thursday.  July 4.  All students will be required to meet individually with the instructor prior to July 5 in order to discuss their independent research projects.
