This file will be stored at web address: http://www.utexas.edu/student/giac/speede/aacraobd.txt, and the nomination form itself will be at http://www.utexas.edu/student/giac/speede/aacraone.txt In the fullness of time, the AACRAO website may also point to these documents. prepared 4/7/98 Dave Stones RESPONSIBILITIES AND DUTIES OF THE BOARD OF DIRECTORS General Responsibilities of the Members of the Board of Directors Participate actively in a) developing and monitoring the strategic plan; b) setting goals, objectives, and priorities; and c) constructing budgets for their areas of responsibility in the Association and d) understanding and helping develop the budget and oversee the financial health of the Association. Work with committees, staff, other Board members and the membership to develop ideas for projects, activities and publications. Keep informed of the business of the Association and be active, constructive participants in the decision process. Constantly seek out the desires and needs of the membership and be aware of them as they relate to services provided by the Association. Represent and promote the Association to its members and to various external publics. Commit sufficient effort and time to preparation for Board meetings in order to be prepared to efficiently and effectively discuss and make decisions on the issues. Prepare a brief summary of their committee activities for projects and program planning. These summaries will be included in the agenda book prepared and mailed by the National Office prior to each meeting of the Board of Directors. For the April Meeting, prepare an annual report of the completed and ongoing activities of their committees. Represent the Association at the state/regional annual meetings coordinated by the Vice President for Regional Associations and Institutional Issues. Serve on the Corporate Advisory Board. The President The President serves as the chief elected officer of the Association and, as such, sets the direction, scope, and tone of the Associationžs activities with the assistance of the Board of Directors and the National Office. The President serves as chair of the Board of Directors and is an ex-officio member of all appointed AACRAO committees. Duties may be assigned and delegated, but the President is responsible for all activities within the Association. Provides leadership to keep the Associationžs goals dynamic and sensitive to changing needs. Directs the process and development of the Associationžs strategic plan, goals, objectives, priorities, programs, resource allocations, and budget. Works with the Executive Director to formulate and update the strategic plan for the Association. Works with the Secretary-Treasurer and the Executive Director to present a five-year budget proposal to the Board. Reviews the agenda with the Executive Director, who supervises the collection of agenda items and supporting documentation for the agenda books for Board meetings. Assesses and maximizes the Associationžs benefits to the members and to the institutions they represent. Provides the appropriate environment within the Association for recognition of the professions and for growth of the members within those professions. Promotes positive impact of the Association on the academic community and on the nation. Is the advocate and spokesperson for multicultural issues. Maintains scrupulously high standards and integrity in planning, in operations internal to the Association, and in representing the Association to various publics. Selects Association members to serve on task forces and special ad hoc committees; give them the charge and oversee their activities. Directs, coordinates, and integrates the functions, plans, and activities delegated to other officers. Assures the financial stability of the Association and the prudent use of its resources. Serves as the official communicator between and among the Board of Directors, the National Office and the membership. Serves as the Associationžs spokesperson in the external relationships of the Association to promote its position in the nation, the academic community, and on the campuses of its members. These duties may be shared with the Executive Director and other members of the Board of Directors or of the Association. Represents the Board of Directors at assigned meetings of state/regional AACRAO organizations. Chairs meetings of the Corporate Advisory Board. The President-elect The President-elect shall be the principal assistant to the President. The responsibilities of the President- elect focus on assisting the President, the Board of Directors, and the National Office in planning and projecting the needs, activities, and direction of the Association. The President-elect coordinates the program for the next Annual Meeting and serves as the Board Contact for the meeting three years out, a responsibility which remains with the individual through the terms as President and Past President. Keeps informed of the Associationžs business through the President, the Secretary-Treasurer, and the National Office, and serves actively on the Administrative and Budget Subcommittees of the Board of Directors. Represents the President upon request. Represents the Board of Directors at assigned meetings of state/regional ACRAO organizations. Works with the President and Executive Director in the formulation and monitoring of the Strategic Plan for recommendation to the Board of Directors. Plans and coordinates the program for the Annual Meeting one year out, and serves as Board Contact with the Local Arrangements Committee, the AACRAO National Office, and the professional meeting planner for the meeting three years out. In this capacity the President-elect: Coordinates the solicitation, planning, scheduling and staffing of program sessions for the Annual Meeting one year out with the Vice Presidents and Executive Director, their committees, and the National Office. Assures that the activities of the Local Arrangements Committee for the meeting three years out contribute to the quality of the meeting, and reports progress frequently to the President and the Board. Monitors fiscal accountability for the Annual Meeting and works closely with the Secretary-Treasurer and the Executive Director on fiscal matters pertaining to the meeting three years out. Selects the keynote speaker and the Parliamentarian, who by tradition is the most recent Past President no longer on the Board, for the annual Business Meeting. Reviews the evaluation forms for the Annual Meeting and submits an abstract of the remarks to the Board of Directors and the National Office. The Past President The past president serves as advisor to the President and other officers and may be assigned other tasks and responsibilities by the President, such as: Solicits candidates for Honorary Membership and for the Distinguished Service Award and presents recommendations to the Board of Directors for approval. (See Honorary Membership Point System, Section VII.) Administers the appointment process for interassociation representation and professional activity committee membership for the next year, working closely with the Executive Director. This includes soliciting well-qualified candidates at the Annual Meeting, from state/regional associations, and from the membership through announcements in the Data Dispenser, NetNews, and on the AACRAO web page. Coordinates rating of the Executive Director by the Administrative Subcommittee of the Board. Represents the Board at assigned state/regional ACRAO annual meetings. Board Contact for Annual Meeting that occurs during his/her year as Past President. Serves on Annual Meeting site selection team. Assists in updating the Annual Meeting Planning Manual annually. Vice Presidents for Professional Activities The following Vice Presidents are elected to the Board Directors: Vice President for Enrollment Management, Admissions, and Financial Aid Vice President for International Education Vice President for Registration and Records Management Vice President for Professional Development, Publications and Research Vice President for Regional Associations and Institutional Issues In addition to the duties outlined for all Board members, the vice presidents perform these activities: Supervise the activities of the committees under his/her jurisdiction. Develop plans for projects, publications and activities associated with their committeesž areas of responsibility. Recommend committee members and interassociation representatives to identify emerging issues and propose projects that will assist the membership in their work and/or their professional growth and recognition. Monitor the work of the committees to ensure quality output, fiscal responsibility, and timely completion of projects. On a yearly basis review, for possible revision, updating or replacement, AACRAO publications that fall under the Group professional area. Recommend to the President-elect and assist in the development of sessions for the Annual Meeting by: Coordinating the work of the committees to recommend session topics. Reviewing preliminary session/workshops proposed by committees. Coordinate liaison activities between AACRAO and those other associations and agencies in higher education which are within the jurisdiction of their committees, as directed by the President. Recommend their Groupžs budgetary needs to the Secretary-Treasurer, and monitor the budget assigned to his/her Group. Represent the Board of Directors at assigned state/regional ACRAO annual meetings. Vice President for Professional Development, Research, and Publications (VP-PDRP) In addition to the duties listed above for Board members, the VP-PDRP has oversight in broad areas that include all professionals. Guides the publications program and planning: topical needs for current and future publications, currency, delivery (print, electronic), etc. Guides broad professional development programs, delivery of information--whether through workshops, sessions, publication, etc. žand integration of activities in a professional career path. Guides publications policies and procedures for the Association in cooperation with the Executive Director. Reviews annually goals and objectives for appointed editors and performance in achieving those goals and objectives. Vice President for Regional Associations and Institutional Issues (VP-RAII) In addition to the duties itemized above for all Vice Presidents, the VP-RAII serves as the primary link between AACRAO and the state and regional associations. Represents the state and regional associations and institutional constituencies on the Board of Directors. Schedules representatives from the Board of Directors and the National Office staff to represent AACRAO at the annual meetings of the state and regional associations. Coordinates activities with the state and regional associations by: Developing annual workshops for state and regional association officers. Identifying emerging issues with the state and regional associations for consideration by the Board of Directors. Identifying needs within the state and regional associations and ways in which the national association can assist the states and regionals. Identifying sessions, workshops, and other activities of outstanding quality at the state and regional level and bringing these to the attention of the awards committee and the appropriate vice president or Executive Director for possible use at the national level. Developing and maintaining lines of communication between AACRAO and the state and regional associations and among the state and regional associations themselves. Identifies and assists in implementing means of promoting membership in the state and regional associations and AACRAO. The Secretary-Treasurer (S-T) Note: The Secretary-Treasureržs term begins in July of the year he/she is elected and concludes three years later in June when the Associationžs fiscal year ends. As Secretary: Records accurate and concise minutes of the annual Business Meeting of the Association and all meetings of the Board of Directors, and Administrative Committee. Copies of the Minutes are located in the Minutes Book while financial materials are in the Budget Book, both of which are passed to successor Secretary-Treasurers. At the beginning of the term, a careful review of prior meeting Minutes will provide background to topics previously discussed. The Minutes book is an invaluable resource at meetings. For the meetings, other useful materials in addition to the Agenda Book provided by the National Office, are the Budget Book for the current and prior year, Minutes Book, calculator, Member Guide, and Robertžs Rules of Order. NOMINATIONS and ELECTIONS COMMITTEE: This committee is elected by the membership, the Chair being the candidate receiving the largest number of votes in the previous year's election and having served as Chair-Elect for the preceding year. The nine committee members solicit nominees for open positions on the Board of Directors. The committee selects a slate of qualified individuals representative of the diverse membership and presents that slate for the membership's consideration at the Annual Meeting in April. The Committee also submits fourteen candidates, including biographical sketches, for the Nominations and elections Committee ballot to be mailed to the membership in February. This Committee meets at AACRAO's expense in November. Seven candidates and three alternates are elected to serve with the highest votes electing the Chair-Elect and Vice Chair-Elect to a two-year term. All other members are elected to one- year terms.
